Introduction
Welcome to Mark & Brand Studio LLC ("Mark & Brand Studio," "we," "our," or "us").

These Terms & Conditions govern the use of our website, services, and any business relationship established with Mark & Brand Studio. By purchasing our services, submitting a form, requesting a quote, or otherwise engaging with us, you agree to be bound by these Terms & Conditions.
1. Services
Mark & Brand Studio provides creative and marketing services including, but not limited to:

The specific scope of each project will be defined in the corresponding proposal, invoice, service package, or written agreement.
2. Payments
We currently accept payments through:

Zelle
-
PayPal
-
Bank Transfer

Projects may be paid:

100% upfront, or
-
50% upfront and 50% before final delivery
​​
Work will not begin until the initial payment has been received.
​
All outstanding balances must be paid before final files, websites, editable assets, print-ready files, or project transfers are delivered.
3. Deposits & Scheduling
Any deposit or initial payment secures project scheduling, creative resources, and production time.

Deposits are non-refundable.
​
Failure to make required payments may result in project delays, suspension, or cancellation.
4. Revisions
Unless otherwise specified, all projects include up to three (3) complimentary revision rounds.
A revision consists of reasonable adjustments to an existing approved design direction, including:

Minor layout changes

Color adjustments

Small graphic modifications
-
Similar refinements
​​
Revisions do not include:
​

Complete redesigns
-
New concepts
-
New creative directions

Additional design options

Significant changes outside the approved scope
Additional revision rounds beyond those included will be billed at $15 USD per revision round.
5. Project Timelines & Client Responsibilities
Estimated delivery dates are based on the assumption that clients will provide all requested materials, approvals, feedback, and information in a timely manner.

Project timelines may be extended if the client:

Delays communication

Fails to provide required content

Submits incomplete information
-
Requests significant changes
-
Takes extended periods to review or approve deliverables

Mark & Brand Studio is not responsible for delays caused by client inactivity, third-party vendors, hosting providers, printing companies, shipping carriers, platform approvals, or circumstances beyond our reasonable control.

All delivery dates are estimates and not guarantees.
6. Client Materials
Clients are responsible for providing accurate and complete information, including but not limited to:

Mark & Brand Studio is not responsible for errors resulting from inaccurate or incomplete information supplied by the client.
7. Approval of Deliverables
Clients are responsible for reviewing and approving all deliverables before production, publishing, printing, or final release.

Once approval has been provided, Mark & Brand Studio is not responsible for:

Typographical errors

Grammar errors
-
Incorrect phone numbers
-
Incorrect addresses
-
Incorrect pricing
-
Incorrect information approved by the client

Any corrections requested after approval may require additional fees.
8. Intellectual Property
Upon full payment of the project, ownership and commercial usage rights of the final approved deliverables transfer to the client.

Drafts

Sketches

Exploratory work

Internal creative processes

Unless otherwise agreed in writing.

No ownership rights transfer until full payment has been received.
9. Portfolio Rights
Mark & Brand Studio reserves the right to display completed work in:

Portfolio presentations

Website galleries
-
Social media channels
-
Marketing materials
-
Case studies
-
Promotional content

Clients requesting confidentiality must notify us in writing before project publication.
10. Website Services & Hosting
For website projects that include hosting:

Domains will be registered under the client's ownership whenever possible.
-
Hosting services remain active only while applicable fees are paid.
​​
If hosting payments become overdue:

Website services may be suspended after 15 days.
-
Backups and website files may be removed after 60 days of non-payment.
​​
Mark & Brand Studio is not responsible for data loss resulting from prolonged non-payment or account inactivity.
​
Website maintenance, security updates, third-party software compatibility, and hosting uptime are subject to the capabilities of the hosting provider.
11. Social Media Services Disclaimer
Social media services are provided on a best-effort basis.

Conversions

Advertising performance

Unless specifically stated in writing, our services do not include community management, customer support, message responses, or comment moderation.

Clients are responsible for supplying photos, videos, and content assets unless otherwise agreed.
12. SEO & Marketing Disclaimer
Mark & Brand Studio does not guarantee:

Search engine rankings

First-page placement
-
Specific traffic numbers
-
Lead generation results
-
Revenue increases
-
Advertising outcomes
Marketing performance depends on numerous factors beyond our control.
13. Print Production
Printed products may experience minor variations in:

Color
-
Material texture
-
Finishes
-
Size tolerances
​​
These variations are considered normal within the printing industry.
​
If a verified production error occurs due to our printing partner, we may arrange a replacement or reprint at no additional cost.
​
Shipping delays, carrier issues, weather events, customs processes, or circumstances outside our control are not grounds for refunds.
14. Project Abandonment
Projects inactive for more than 30 days due to lack of client communication may be placed on hold.
​
Projects inactive for more than 90 days may be considered abandoned and closed.
​
No refunds will be issued for abandoned projects.
15. Project Reactivation
Abandoned projects may be reactivated at the sole discretion of Mark & Brand Studio.
​
A project reactivation fee may apply before work resumes.
​
Additional fees may be required if project scope, pricing, or timelines have changed.
16. Third-Party Platforms
Mark & Brand Studio is not responsible for actions, restrictions, suspensions, bans, outages, algorithm changes, policy changes, verification issues, account limitations, content removals, or decisions made by third-party platforms including but not limited to:

Canva

Shopify

Hosting providers

Domain registrars

Email providers

Payment processors

Clients acknowledge that these platforms operate independently and may change their policies at any time.
17. Limitation of Liability
To the fullest extent permitted by law, Mark & Brand Studio LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services.

Our maximum liability shall never exceed the total amount paid by the client for the specific service giving rise to the claim.
18. Indemnification
Clients agree to indemnify and hold harmless Mark & Brand Studio LLC, its owners, contractors, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

Copyright infringement

Trademark disputes

False information

Misuse of deliverables

Violations of applicable laws
19. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising from these Terms shall be subject to the jurisdiction of the courts located in Wyoming.
20. Changes to These Terms
Mark & Brand Studio reserves the right to update or modify these Terms & Conditions at any time.
